Informal Dispute Resolution
By using the website and agreeing to these terms of use, you agree that prior to filing any claim, lawsuit, arbitration, or initiating any other legal proceeding relating in any way to the website, our privacy policy, or these terms of use, you will first notify us via email at founders@getauctor.com to inform us of the basis for your complaint and to provide us an opportunity to resolve the dispute informally. Governing Law and Jurisdiction
All matters relating to the website and these terms of use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of New York without giving effect to any choice or conflict of law provision or rule (whether of the State of New York or any other jurisdiction).

Arbitration Clause

Arbitration under these terms of use shall not be initiated or proceed until the informal dispute resolution mechanism above has been exhausted. Arbitration under these terms of use shall be conducted under the rules then prevailing in the laws of the State of New York. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction. To the fullest extent permitted by applicable law, no arbitration under these terms of use shall be joined to an arbitration involving any other party subject to these terms of use, whether through class arbitration proceedings or otherwise.
Class Action Waiver
By agreeing to these terms of use, you agree that you are required to resolve any claim that you may have against Auctor or any of its affiliates on an individual basis, and not as a class, collective, coordinated, consolidated, mass and/or representative action. This class action waiver will preclude you from bringing any class, collective, coordinated, consolidated, mass, and/or representative action against Auctor or any of its affiliates, and also preclude you from participating in or recovering relief in any current or future class, collective, coordinated, consolidated, mass and/or representative action brought against Auctor or any of its affiliates by someone else. Any and all disputes, claims, or controversies between the parties shall be resolved only in individual proceedings. The parties expressly waive the right to have any dispute, claim, or controversy brought, heard, administered, resolved, or arbitrated as a class, collective, coordinated, consolidated, and/or representative action, and neither a court, judge, arbitrator nor an arbitration provider shall have any authority to hear, litigate, arbitrate, or administer any class, collective, coordinated, consolidated, and/or representative action, or to award relief to anyone but the individual in individual proceedings. The parties also expressly waive the right to seek, recover, or obtain any non-individual relief.
A court, tribunal or arbitrator may not preside over any action joining, coordinating, or consolidating the claims of multiple individuals against Auctor in a single proceeding. If there is a final judicial determination that any portion of this class action waiver is unenforceable or unlawful for any reason, (i) any class, collective, coordinated, consolidated, and/or representative claims subject to the unenforceable or unlawful portion(s) shall proceed in a court of competent jurisdiction; (ii) the portion of the class action waiver that is enforceable shall be enforced in a court of competent jurisdiction; (iii) the unenforceable or unlawful portion(s) shall be severed from this class action waiver; and (iv) severance of the unenforceable or unlawful portion(s) shall have no impact whatsoever on the enforceability, applicability, or validity of the class action waiver.
Waiver and Severability
No waiver by Auctor of any term or condition set out in these terms of use shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Auctor to assert a right or provision under these terms of use shall not constitute a waiver of such right or provision.
If any provision of these terms of use is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the terms of use will continue in full force and effect.
Entire Agreement
The terms of use and our privacy policy constitute the sole and entire agreement between you and Auctor regarding the website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the website.
